Terms of Service
These Terms are a public offer by RelayModels for paid access to software and computing infrastructure.
1. General provisions
1.1. These Terms are offered to legally capable individuals, sole proprietors, and legal entities. The Refund Policy and Privacy Policy form an integral part of these Terms.
1.2. Nothing in these Terms limits mandatory consumer rights. Any unenforceable provision does not affect the remaining provisions.
2. Definitions
2.1. Service means the RelayModels website, account area, API, software gateways, and related infrastructure.
2.2. Services include access to computing infrastructure, routing API requests, interaction with AI providers, usage accounting, and technical support.
2.3. Prepaid usage means the right to use the Service within a prepaid limit shown in the account.
2.4. Tokens are technical units used to measure resources. They are not money, electronic money, a payment instrument, digital currency, securities, or a standalone product.
2.5. Balance, top up, and charge are interface terms for remaining prepaid usage, its increase after payment, and its reduction as Services are delivered.
2.6. An API key is a secret used to identify requests and is not a payment instrument.
2.7. An external provider is an AI model owner or infrastructure supplier involved in processing a request.
2.8. AI output means text, code, images, or other data generated by an AI model.
3. Acceptance and agreement
3.1. Creating an account after reviewing these Terms constitutes acceptance. Paying for prepaid usage constitutes acceptance of paid Services.
3.2. Acceptance must be complete and unconditional. The agreement is formed when the offer is accepted.
3.3. Before payment, the user is shown the price, currency, usage volume, applicable coefficients, payment method, and material limitations.
3.4. A person acting for an organization confirms that they have the required authority.
4. Scope of services
4.1. The Provider grants access to the Service within the selected prepaid usage, and the Customer pays for the Services.
4.2. The agreement does not involve the sale of tokens, money substitutes, electronic money, or deposit-like repayment rights. Payment is prepayment for a measurable volume of Services.
4.3. Available models, modes, coefficients, and features are published in the Service. External providers may be used to fulfill requests.
4.4. No exclusive rights to the Service, models, code, or trademarks are transferred.
5. Service delivery
5.1. Delivery begins with account creation, activation of prepaid usage, and infrastructure preparation.
5.2. Prepaid usage is activated within a reasonable time after payment confirmation. If delayed beyond 48 hours, the Customer may request activation or a refund.
5.3. Usage is measured using technical data including the model, token count, and coefficient in effect when the request was made.
5.4. Incorrect charges are reviewed and corrected. The Customer may dispute a calculation and provide logs.
6. Prices and payments
6.1. Price and prepaid usage are shown before payment, including mandatory taxes and charges where applicable.
6.2. Prepaid usage decreases as Services are delivered. Model coefficients may differ; changes apply only to new requests.
6.3. Promotional usage is free, has no cash value, and is excluded from refunds.
6.4. Prepaid usage is tied to the account, is not a monetary claim, and may not be transferred without consent except by legal succession.
6.5. Recurring charges are not used unless separately and explicitly enabled.
6.6. Payment is complete after confirmation by the payment provider.
7. Acceptable use
7.1. The Service may not be used for illegal activity, infringement, fraud, spam, malware, or other unlawful purposes.
7.2. Circumventing limits, interfering with accounting or security, and causing excessive or destabilizing load are prohibited.
7.3. Resale, public distribution of API keys, or use as a public proxy requires separate authorization.
7.4. Users must have lawful rights to all material included in requests.
7.5. Access may be proportionally restricted for violations, with notice where risk permits.
8. AI models and external providers
8.1. AI models are probabilistic and may produce inaccurate, incomplete, outdated, or similar outputs.
8.2. Users must independently verify outputs before making legal, medical, financial, engineering, or other significant decisions.
8.3. Availability, response time, context limits, and provider rules may change. Material changes are communicated through the Service.
8.4. Requests and responses may be processed by external providers as necessary to deliver the Service.
9. Account security
9.1. The Customer must protect account credentials and API keys and notify support promptly about suspected compromise.
9.2. Requests authenticated with an active key are treated as authorized until the key is revoked or compromise is reported.
9.3. The Provider may temporarily restrict a compromised key to protect the Customer and the Service.
10. Rights and obligations
10.1. The Provider maintains the Service, records usage, investigates substantiated disputes, and provides support.
10.2. The Customer provides accurate information, complies with these Terms and applicable law, and pays for selected Services.
10.3. Maintenance, security updates, and emergency restrictions may be applied when reasonably necessary.
11. Quality and availability
11.1. The Service is provided with commercially reasonable care. Continuous operation without interruption is not guaranteed.
11.2. Failed requests that do not consume billable provider resources are not charged. Disputed usage may be investigated using technical logs.
11.3. Support response times depend on request complexity and are not a guaranteed service level unless separately agreed.
12. Cancellation and refunds
12.1. A Customer may cancel unused Services by contacting support. Mandatory consumer rights remain unaffected.
12.2. The refundable amount is the price of the undelivered portion less legally permitted, documented costs. No fixed cancellation penalty applies.
12.3. Calculations may include processed billable requests and directly related documented payment-provider or external-provider costs.
12.4. Detailed refund procedures are set out in the Refund Policy and do not limit statutory rights.
13. Intellectual property
13.1. Rights to the Service remain with their owners. The Customer receives a limited, non-exclusive, non-transferable right of use for the agreement term.
13.2. The Customer retains rights to lawfully uploaded material and permits its technical processing only as needed to fulfill requests.
13.3. Rights in AI output depend on applicable law and external-provider terms. Uniqueness and absence of similarity are not guaranteed.
14. Personal data
14.1. Personal data is processed under the Privacy Policy and applicable law.
14.2. Request content is sent to external providers only as needed to generate output. Customers must account for this before including personal data.
14.3. Separate consent is obtained where required by law.
15. Business use
15.1. Business customers are subject primarily to applicable commercial and civil law and are not treated as consumers where the law so provides.
15.2. A separate corporate agreement prevails if its terms conflict with these Terms.
15.3. Business customers should submit reasoned usage-report objections within 10 business days, without losing the right to report hidden errors.
15.4. To the extent permitted by law, liability in business relationships is limited to documented direct loss and the amount paid for the disputed prepaid usage, except where limitation is prohibited.
16. Liability
16.1. Each party is liable for breach under these Terms and applicable law. The Provider remains responsible for its own improper performance.
16.2. The Provider is not liable for failures caused by Customer equipment or settings, unlawful request content, Customer-caused key compromise, or third parties outside reasonable control.
16.3. Liability limits do not apply where prohibited by law, including intentional misconduct or harm to life or health.
17. Force majeure
17.1. A party is excused for non-performance caused by extraordinary and unavoidable events outside its reasonable control.
17.2. The affected party gives notice within a reasonable time. Performance is suspended while the event continues; unsuccessful operations are not billed and unused prepaid usage remains available.
18. Term, suspension, and termination
18.1. The agreement remains effective from acceptance until obligations are fulfilled or it is terminated under law or these Terms.
18.2. The Customer may stop using the Service and cancel the undelivered portion.
18.3. The Provider may terminate for a material breach after notice and a reasonable cure period. If terminated without Customer breach, the undelivered paid portion is refunded.
19. Changes, notices, and disputes
19.1. These Terms may be changed prospectively. A new version takes effect on its stated date and is not retroactive.
19.2. Material notices are posted in the account, on the website, or in a public channel.
19.3. The agreement is governed by the laws of the Russian Federation.
19.4. Consumers may bring claims in any venue available under mandatory consumer law.
